AutoClerk, Inc. and Bay Lakes Information Systems, LLC merge

Lafayette, CA — AutoClerk, Inc., a leading national software provider of property management
systems (PMS), announced today that it has merged with Bay Lakes Information Systems, authors of
software systems for property management, point-of-sale (POS), web-booking engines, web-travel
portals, condominium management, marina management, occupancy tax management, self-serve
kiosks, and event ticketing. The newly merged entity, yet to be named, provides software to customers
in 40 states that run the gamut from a bed & breakfast inn to a full service, 1,000-room resort with over
100 POS food-service outlets. It also is a supplier of software to online travel agencies that provide
room aggregation services to thousands of independent properties.

“Independent hoteliers and hotel franchisers, large and small, want the simplicity of a one-stop shop for
their technology needs, and this merge moves us toward that goal,” said Gary Gibb, president of
AutoClerk. “Our combined development teams have over 50 years of industry experience, which we
plan to harness for our next-generation of integrated web-based products with enterprise functionality,”
he said. “Collapsing complicated interfaced systems into one simple, low-cost, integrated dashboard is

overburdened hoteliers, while at the same time improving accuracy and lowering technology
infrastructure costs.”

Prior to the completion of the merge, the two companies began working together on their first project –
the creation of a new PMS, which can be deployed on premise or in the cloud. “I am confident this
new program, which is already being preliminarily tested by a few of our customers, is sure to delight
our clients with its many new features and functions,” said Greg Swain, president of Bay Lakes.
